1. Acceptance of Terms

By accessing or using TalonTodo ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

TalonTodo is a student task management application that helps users organize classes, tasks, assignments, and study materials. The Service provides features including but not limited to:

  • Task and assignment management
  • Class and semester organization
  • Grade tracking and GPA calculation
  • Study materials, flashcards, and study sessions
  • Habit tracking and streak analytics
  • Pomodoro focus timer
  • Local AI study guide and flashcard generation
  • Calendar integration and synchronization
  • Smart scheduling and task suggestions
  • Group collaboration and shared projects
  • Effort estimation and tracking

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate, current, and complete
  • Maintain the security of your password and identification
  • Accept all responsibility for activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to share your account credentials with any third party.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
  • Transmit or upload any material that contains viruses, Trojan horses, worms, or any other harmful or destructive code
  • Attempt to gain unauthorized access to the Service or any related systems or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use automated systems (bots, scrapers, etc.) to access the Service without our prior written consent
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit spam, unsolicited emails, or other unsolicited communications
  • Impersonate or attempt to impersonate another user or person
  • Use the Service to store or transmit any content that is illegal, harmful, or violates the rights of others

5. User Content

5.1 Content Ownership

You retain ownership of any content you upload, create, or store in the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to all User Content
  • Your User Content does not infringe or violate any third-party rights
  • Your User Content complies with all applicable laws and regulations

5.3 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms or that we believe may be harmful to the Service or other users.

6. Subscription and Payment

6.1 Free Tier

TalonTodo offers a free tier with access to core features. Free tier users have access to basic task management, class organization, and study tools.

6.2 Premium Subscriptions

We offer premium subscription tiers with additional features. Subscription fees are billed in advance on a monthly or annual basis, or as a one-time payment for lifetime subscriptions.

6.3 Payment Terms

  • All fees are in U.S. dollars unless otherwise specified
  • Payments are processed securely through Stripe
  • Subscription fees are non-refundable except as required by law
  • We reserve the right to change subscription pricing with 30 days' notice
  • Your subscription will automatically renew unless cancelled before the renewal date

6.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to premium features until the end of your paid period.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by TalonTodo and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Service without our prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Google Calendar, Stripe). Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability or functionality of third-party services.

9. Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times or free from errors, interruptions, or defects. We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALONTODO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to indemnify, defend, and hold harmless TalonTodo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time through the Service settings.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and TalonTodo regarding the use of the Service and supersede all prior agreements and understandings.
